Terms of Service

Welcome to Cerca. By downloading, accessing, or using the Cerca mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree, do not use the App.

1. About Cerca

Cerca is a two-sided marketplace that connects customers ("Customers") with local independent service providers ("Providers"). Cerca facilitates the discovery, booking, and payment of services but is not itself a service provider and does not employ Providers.

2. Eligibility

You must be at least 18 years old to use Cerca. By creating an account you represent that you meet this requirement. Accounts created on behalf of a business must be authorized by that business.

3. Accounts

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately at support@app-cerca.com if you suspect unauthorized access. For account security issues, you may also reach us at contact@app-cerca.com.

4. Bookings

Customers may send booking requests to Providers through the App. A booking is confirmed only when the Provider explicitly accepts it. Cerca does not guarantee that any Provider will accept a request.

Once confirmed, both parties are expected to honor the booking. Repeated no-shows or last-minute cancellations may result in account suspension.

5. Payments and Fees

All payments are processed through Stripe, a third-party payment processor. By using Cerca's payment features you also agree to Stripe's Terms of Service.

Deposits. Providers may require a deposit at the time of booking. The deposit amount is set by the Provider and displayed before payment is submitted. Deposits are held by Cerca and applied toward the total cost of the service.

Final Payment. After a service is marked complete by the Provider, the Customer will receive a payment request for the remaining balance. Payment must be submitted through the App. Cerca charges a platform fee on each transaction; the exact fee percentage is displayed at checkout.

Tips. Customers may optionally add a tip when submitting the final payment. Tips are passed in full to the Provider and are not subject to Cerca's platform fee.

Payouts. Providers receive payouts directly to their connected bank account via Stripe Connect. Payout timing is subject to Stripe's standard transfer schedule. Cerca is not liable for delays caused by Stripe or the Provider's financial institution.

6. Refunds and Cancellations

Provider Cancellations. If a Provider cancels a confirmed booking for which a deposit was collected, the deposit will be automatically refunded in full to the Customer's original payment method within 5–10 business days.

Customer Cancellations. If a Customer cancels a confirmed booking, refund eligibility is primarily determined by the Provider's stated cancellation policy, which is visible on the Provider's profile before booking. Cerca does not guarantee a refund for customer-initiated cancellations. However, Cerca reserves the right, at its sole discretion, to issue a full or partial refund to a Customer in cases of documented Provider fault — such as a Provider no-show, material misrepresentation of services, or misconduct — even where the Provider's stated policy would otherwise deny a refund.

Disputes. If you believe a charge was made in error, contact us at billing@app-cerca.com before initiating a chargeback with your bank. Filing a chargeback without first contacting us may result in account suspension.

7. Provider Obligations

Providers must complete Stripe's identity verification (Know Your Customer / KYC) before accepting payments through the App. By connecting a Stripe account, Providers also agree to the Stripe Connected Account Agreement in addition to Stripe's general Terms of Service. Providers are independent contractors and are solely responsible for the quality, safety, and legality of the services they offer, including any required licenses, permits, or insurance. Providers agree not to offer services that are illegal, adult-only, or otherwise prohibited by Stripe's restricted business categories.

Providers are responsible for their own taxes on income received through Cerca. Cerca does not withhold federal, state, or local taxes on Provider payouts. Providers who earn $600 or more in a calendar year will receive a Form 1099-K from Stripe, which is also reported to the IRS. Providers should consult a tax professional regarding their obligations, including estimated quarterly tax payments and self-employment tax.

Safety disclosure. Cerca does not conduct criminal background checks, license verification, or insurance verification on Providers. All Providers are verified by email address only. Customers are responsible for independently verifying Provider credentials and suitability before engaging their services.

8. Cerca Pro Subscription

Providers may subscribe to Cerca Pro for access to premium features. Subscriptions are offered on a monthly or annual basis and are processed through Apple's In-App Purchase system. A free trial may be offered to new subscribers; the trial duration is displayed before purchase.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. You can manage and cancel your subscription in your device's App Store subscription settings. Refunds for in-app purchases are subject to Apple's refund policies.

9. Cerca Verified. Identity Verification

The Cerca Verified program is an optional, one-time identity verification available to all providers. By initiating verification, you agree to the following terms in addition to the rest of this agreement.

Fee. The Cerca Verified program requires a one-time, non-refundable fee of $9.99 USD, charged at the time you initiate the process. This fee is non-refundable once identity verification has been initiated, regardless of whether verification is approved or declined.

Consent to identity data collection. By proceeding with Cerca Verified, you expressly consent to Stripe Identity (operated by Stripe, Inc.) collecting, processing, and retaining your government-issued ID document and a selfie photograph for the purpose of confirming your identity. You acknowledge that Stripe processes this data under its own privacy policy (stripe.com/privacy) and identity terms (stripe.com/legal/identity-verification).

What Cerca Verified means. A Cerca Verified badge indicates that a provider's government-issued ID was reviewed and matched to a selfie by Stripe Identity. It confirms the provider's real-world identity. It is not a background check, criminal history check, license verification, or endorsement of service quality by Cerca.

Badge permanence. Once granted, the Cerca Verified badge does not expire and does not require renewal if the provider cancels their Cerca Pro subscription. However, the badge is tied to the account it was granted to and is not transferable.

Account deletion. If you delete your Cerca account, your Cerca Verified status is preserved during the 30-day grace period. If you cancel the deletion within 30 days by contacting support@app-cerca.com, your verified badge will be fully restored. After the grace period expires, your Cerca Verified status is permanently removed. The verification fee is non-refundable once the account is permanently deleted. If you create a new account in the future, you will be required to complete and pay for the verification process again.

Revocation. Cerca reserves the right to revoke Cerca Verified status if we determine that the verification was obtained fraudulently, the account engages in prohibited conduct, or if required by law. No refund will be issued upon revocation for cause.

Biometric data. Cerca does not collect, access, store, or use any biometric identifiers or biometric information. All biometric processing is performed exclusively by Stripe. Providers in states or jurisdictions with biometric privacy laws should review Stripe's biometric data practices before proceeding.

10. User Content

You retain ownership of photos, bios, and other content you upload to Cerca ("User Content"). By uploading User Content you grant Cerca a non-exclusive, royalty-free, worldwide license to display and distribute that content within the App and in marketing materials. You represent that you have the right to share any content you upload.

Public visibility of Provider content. Provider profile information. Including business name, bio, city, services, reviews, and portfolio photos. Is publicly accessible. Specifically:

  • Portfolio photos are displayed on the Provider's public profile page at app-cerca.com/p/[your-profile], which is accessible to anyone on the internet without a Cerca account.
  • Portfolio photos and profile information may be indexed by search engines such as Google.
  • When the discovery feed is enabled, portfolio photos may appear to all Cerca customers in the in-app discovery feed.

By uploading portfolio photos, you acknowledge and consent to this public display. You may remove individual photos at any time from Portfolio settings in the App, and you may opt out of the in-app discovery feed by toggling "Share in discovery feed" off in your Portfolio settings. Removing a photo from the App removes it from the discovery feed and your public profile page.

11. Prohibited Conduct

  • Impersonating another person or providing false information
  • Using the App to harass, threaten, or harm others
  • Threatening, extorting, or manipulating another user in connection with a review, booking, or dispute
  • Circumventing the App's payment system to pay or receive payment off-platform after initial contact was made through the App
  • Posting false or misleading reviews
  • Uploading photos that include identifiable third parties without their consent
  • Creating multiple accounts to circumvent a suspension or ban
  • Attempting to scrape, reverse-engineer, or disrupt the App
  • Using the App for any unlawful purpose or in violation of any applicable law or regulation

12. Termination and Account Deletion

Cerca may suspend or terminate your account at any time for violation of these Terms or for any conduct that we determine, in our sole discretion, is harmful to other users or to Cerca. You may delete your account at any time from the Profile screen in the App.

Grace period. When you request account deletion, your account is scheduled for permanent deletion after a 30-day grace period. During this period you may contact support@app-cerca.com to cancel the deletion request. After 30 days, deletion is permanent and cannot be reversed.

What is deleted. Upon permanent deletion, your profile, services, portfolio photos, booking history, and reviews are permanently removed. Messages are retained in anonymized form so the other party keeps their conversation history; your name and identity are removed from all messages.

Cerca Verified badge. Your Cerca Verified status is preserved during the 30-day grace period. If you cancel the deletion in time, your badge is fully restored. After the grace period expires, the badge is permanently removed and the one-time verification fee is non-refundable. If you create a new account, you must complete and pay for the verification process again.

Stripe payouts. If you have earnings pending transfer to your bank at the time of deletion, you should wait at least 2 business days before deleting your account to allow Stripe to complete any outstanding transfers. Cerca is not responsible for funds that cannot be transferred due to early account deletion.

13. Disclaimer of Warranties

The App is provided "as is" without warranties of any kind. Cerca does not warrant that the App will be uninterrupted, error-free, or that any Provider will deliver services to your satisfaction. Use of the App is at your own risk.

14. Force Majeure

Cerca is not liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions or regulations, labor disputes, internet or telecommunications outages, cyberattacks, or failures of third-party services on which the App depends. Including Stripe, Apple, Supabase, or any other infrastructure or payment provider. In such events, Cerca's obligations are suspended for the duration of the disruption.

15. Indemnification

You agree to defend, indemnify, and hold harmless Cerca and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the App; (b) your User Content; (c) services you provide or receive through the App; (d) your violation of these Terms; or (e) your violation of any applicable law or the rights of any third party. This indemnification obligation survives termination of your account.

16. Intellectual Property

The App. Including its design, features, trademarks, trade dress, software, and all content created by Cerca. Is owned by Cerca and protected by applicable intellectual property laws. The Cerca name and logo are trademarks of Cerca. Nothing in these Terms grants you any ownership interest in, or license to use, Cerca's intellectual property except as expressly required to use the App for its intended purpose. You may not copy, reproduce, modify, distribute, or create derivative works of the App or its content without our prior written consent.

17. In-Person Service Disclaimer

Cerca is a marketplace platform that facilitates connections between Customers and Providers. Cerca is not present at, and has no control over, the physical delivery of any service arranged through the App. Cerca is not liable for any personal injury, property damage, theft, loss, or any other harm occurring during or as a result of a service arranged through the App. All in-person services are undertaken at the sole risk of the parties involved. Customers and Providers are solely responsible for their own safety and for conducting appropriate due diligence before meeting.

Safety recommendations. Before allowing a Provider into your home or meeting a Provider or Customer in person, we strongly encourage you to: (a) review the Provider's profile, reviews, and any available verification badges; (b) communicate through the in-app messaging system before meeting so there is a record of your agreement; (c) share your location or plans with a trusted contact; and (d) independently verify any license, certification, or insurance the Provider claims to hold, as Cerca does not verify these. These are recommendations only. Cerca cannot guarantee your safety and following these steps does not create any liability for Cerca if harm occurs.

18. Limitation of Liability

To the fullest extent permitted by law, Cerca's total liability to you for any claim arising from these Terms or your use of the App shall not exceed the greater of (a) the amount you paid to Cerca in the 12 months preceding the claim, or (b) $100 USD. Cerca is not liable for indirect, incidental, or consequential damages.

Jurisdictional variation. Some jurisdictions do not allow the exclusion or limitation of certain damages, including consequential or incidental damages or limitations on implied warranties. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law. Nothing in this section limits liability that cannot be excluded under applicable consumer protection law.

19. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law provisions. Any disputes not subject to arbitration under Section 20 shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts.

20. Dispute Resolution & Binding Arbitration

Please read this section carefully. It affects your legal rights.

Informal resolution first. Before filing any formal dispute, you agree to contact us at legal@app-cerca.com and give us 30 days to attempt to resolve the issue informally. We aim to respond to all dispute and refund requests within 3 business days of receipt. Safety reports (submitted via the in-app Report button) are reviewed within 1 business day. These are goals, not guarantees, but we take them seriously.

Binding arbitration. If we cannot resolve a dispute informally, you and Cerca agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App (except as stated below) will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. Arbitration will take place in Florida or remotely if mutually agreed. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. You and Cerca agree that all claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Nothing in this section limits either party's right to seek injunctive or other equitable relief in court for intellectual property infringement or unauthorized access to the App.

Opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@app-cerca.com with the subject line "Arbitration Opt-Out" and your full name and email address. If you opt out, disputes will be resolved in the courts of Florida as set forth in Section 19.

21. Changes to These Terms

We may update these Terms from time to time. For non-material changes — such as clarifications, formatting, or corrections that do not reduce your rights — continued use of the App after the updated Terms are posted constitutes your acceptance.

For material changes — including changes to payment terms, arbitration, liability limitations, data practices, or any change that meaningfully affects your rights or obligations. We will provide at least 30 days' advance notice by (a) sending an email to the address associated with your account, and (b) displaying a prominent in-app notice. If you do not agree to the material changes, you may close your account before they take effect. Continued use of the App after the effective date of a material change constitutes your acceptance of the updated Terms.

The date at the top of this page reflects when the Terms were last updated. We maintain a summary of significant changes below the Contact section.

22. Copyright Policy (DMCA)

Cerca respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe that content on the App infringes your copyright, please send a written notice containing all of the following to our designated DMCA agent:

  • Your full legal name and contact information (address, phone number, and email address).
  • A description of the copyrighted work you claim has been infringed.
  • A description of where the allegedly infringing material is located in the App (e.g., a profile URL or screenshot).
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.
  • Your physical or electronic signature.

DMCA Agent: Send takedown notices to dmca@app-cerca.com. You may also mail notices to: Cerca, Attn: DMCA Agent, Denver, Colorado.

Counter-notices. If you believe your content was removed by mistake or misidentification, you may submit a counter-notice to the same address. A valid counter-notice must include: your contact information; identification of the removed content and its location before removal; a statement under penalty of perjury that you have a good-faith belief the content was removed by mistake; and your consent to the jurisdiction of the federal district court for your location. Upon receipt of a valid counter-notice, we may restore the content unless the original claimant files a court action within 10 business days.

Repeat infringers will have their accounts terminated in accordance with our repeat infringer policy.
